Affiliation Conditions

The present Affiliate Conditions ("Agreement") contain the complete terms and conditions that apply to your participation to the Partner Program as a Zilok member. By using the Affiliate Tools (including referral emails, referral links, referral banners), you warrant that you have read and understood this Agreement, and you agree to be bound by it.

Definitions

Throughout this Agreement, capitalized terms shall have the meaning ascribed to them in quotes. In addition, the following definitions apply:

"Affiliation" means the relationship between a Zilok Partner Member and an Affiliated Member.

"Partner Member" means a individual or corporation, who (i) has fully created an account on Zilok, and (ii) is using any of the Affiliate Tools in the attempt to bring new people to sign up accounts on Zilok.

"Affiliate Tools" mean the array of tools such as, and without limitations, referral emails, referral links, referral promotional banners, that are made available to Zilok members through the Partner Program.

"Affiliated Member" means an individual or corporation who created a new account on Zilok by clicking on an Affiliate Tool provided by a Partner Member.

"Active Member" means a person, who (i) has created an account on Zilok, who (ii) has obtained "Confirmed" user status by completing its profile on Zilok, and who (iii) has completed at least one rental transaction through Zilok, as an owner or as a renter, within one month of its Zilok account creation.

"Affiliation Rewards" mean the money that is earned by a Partner Member through the Partner Program.

"Completed Transaction" means that (i) a Zilok member, the renter, has made a booking request to another Zilok member, the owner, requesting an item for rent, and (ii) that the owner of the item has accepted this booking request using Zilok website.

Acceptance

The present terms and conditions are established between Zi Group SPRL ("Zi Group", or "Zilok"), and the Partner Members of the Zilok website, whether an individual or a corporation. Using the Affiliate Tools constitutes an agreement to be bound by the terms and conditions of the present Agreement. The Affiliate Conditions being established being Zi Group and actual Zilok members who already accepted the general Terms of Use of Zilok, acceptance of the Affiliation Conditions implies acceptance of the Terms of Use of Zilok.

Term of the Affiliation

The Affiliation between a Partner Member and an Affiliated Member will begin when the member to be affiliated will have created an account using the Affiliate Tool provided by the Partner Member and will have confirmed his account (thus becoming an Affiliated Member). The Affiliation will last for one year from the date of the Affiliated Member account confirmation. During the one year duration of the Affiliation, the Partner Member will earn Affiliation Rewards for each completed transaction involving the Affiliated Member, whether as an owner or a renter.

Affiliation Rewards

The Partner Member earns 10% of the commissions earned by Zilok for Completed Transactions involving the Affiliated Member as the renter or the owner of the rental item. The Affiliation Rewards are calculated once the commission earned by Zilok has been effectively paid for and validated by the owner, that is 30 days after the end of the rental.

Zilok is committed to these payment conditions during the Term of the Affiliation, but may change at any point the terms and conditions of the Affiliation Conditions, therefore impacting only the Affiliations created after these changes. Zilok may also offer special Affiliation conditions to other parties, with different terms and conditions.

Payment

Affiliation Rewards can only be paid to the Partner Member using Paypal. Payment of Affiliation Rewards can be made once the cumulated Affiliation Rewards have reached a total amount greater or equal to 50 US dollars. Zilok reserves the right to substract the processing fees charged by Paypal to the Affiliation Rewards when paying the Partner Member using Paypal.

Obligations of the Partner Member

Use of the Affiliation Tools shall be made in accordance with all applicable laws and regulations. You must use the Partner Program in a manner that demonstrates common sense and respect for the rights of Zilok and third parties. In particular, the Partner Member commits to respect the conditions listed thereafter. In case of a violation of these conditions, you will be removed from the Partner Program, the Agreement will be terminated with complete forfeit of Affiliate Rewards commissions.

Zilok Image

The Partner Member is responsible, when using the Affiliate Tools, when referring new members, or when promoting Zilok, of the image of Zilok brand. During the Term, you will not disparage Zilok or portray it in a derogatory or negative manner. You will not associate Zilok with illegal content and will comply with the agreed Terms of Use of Zilok.

Affiliation conditions

A Partner Member can have an unlimited number of Affiliated Members, but shall not be affiliated to himself. Zilok shall not be a party to any agreement you have with other parties, and you are not authorized to make any commitment on behalf of Zilok. You shall not reward or pay directly or indirectly in any way other parties to influence them to become your Affiliated Members and/or increase your Affiliation Rewards.

Independence

As a Partner Member, you will use the Affiliate Tools at your sole discretion. You and Zilok are independent contractors and nothing in this Agreement will create any partnership, joint venture or agency relationship. You'll have no authority to make or accept any offers, warranties, or representations on our behalf. You will not make any statement, whether on your site or otherwise, that would cause confusion as to our relationship with you.

Accepted Use

When using the Partner Program and the Affiliate Tools, you shall not infringe upon any other individual's or organization's rights (including, without limitation, intellectual property rights) and is not defamatory, libelous, unlawful or otherwise objectionable. You shall not provide, promote, distribute, place or otherwise publish as an Partner Member any content, or Web site that includes content, which is libelous, defamatory, obscene, pornographic, abusive, fraudulent or violates any law. As Zilok may not review all information provided by you, you shall remain solely responsible for your content, website or blog. Affiliate Tools may not be placed in newsgroups, unsolicited e-mail, Instant Messaging networks, banner networks, counters, chatrooms or guestbooks. Zilok condemns the use of unsolicited e-mail (SPAM) and abusive use of online communities (discussion boards, forums, groups). You shall not use illegal means to recruit Affiliated Members.

Limitation of Liability

Zi Group will not be liable for any consequential, indirect, special, incidental, or punitive damages of any kind arising out of or in related to this agreement, even if it has been advised of the possibility of such damages. This limitation shall survive upon the termination of this Agreement. In particular, Zi Group will not be liable for any damage of any kind arising out of Partner Member actions.
